Agreement Overview
These Terms and Conditions (“Agreement”) govern your access to and use of the digital products, online content, and materials (the “Products”) provided by Gimmie Digital, LLC (“we,” “us,” or “our”).
By purchasing, downloading, or using any of our Products, you agree to be bound by this Agreement.
If you do not agree to these terms, please do not use or access our Products.
Grant of License
We grant you a non-exclusive, non-transferable license to use the purchased digital Products in accordance with the rights you have acquired (e.g., personal use or master resell rights).
This license allows you to access and use the Product for lawful purposes only and does not transfer ownership or intellectual property rights to you.
Any resale, distribution, or reproduction outside the scope of your license is strictly prohibited.
Intellectual Property
All Products, including but not limited to digital content, materials, graphics, designs, trademarks, and logos, are protected under intellectual property laws and remain the exclusive property of Gimmie Digital, LLC or its licensors.
You acknowledge and agree that you have no ownership rights in the Product other than the license expressly granted in this Agreement.
You may not copy, modify, or reproduce any Product content for purposes beyond the scope of your purchase.
Indemnification
You agree to indemnify, defend, and hold harmless Gimmie Digital, LLC, its owners, employees, contractors, and affiliates from any and all claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from:
Your use or misuse of our Products or website;
Any breach of this Agreement; or
Any infringement of intellectual property or other rights of a third party.
This indemnification obligation will survive the termination of this Agreement and your use of the Products.
Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.
Any disputes arising from or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Georgia, and you agree to submit to the jurisdiction of such courts.
To the fullest extent permitted by law, you waive the right to participate in any class action or representative proceeding.
Termination
We reserve the right to suspend or terminate your license and access to any Product at any time, without notice, if we believe you have violated this Agreement.
Upon termination, you must immediately cease all use of the Product and destroy any copies in your possession.
Amendments
Gimmie Digital, LLC reserves the right to modify, revise, or update this Agreement at any time without prior notice.
Any changes will be effective immediately upon posting to our website.
Your continued use of our Products after such posting constitutes your acceptance of any revised terms.
Entire Agreement
This Agreement constitutes the entire understanding between you and Gimmie Digital, LLC regarding your use of the Products and supersedes all prior agreements, communications, or understandings, whether written or oral.
Changes to Terms and Conditions
We may update or modify these Terms and Conditions periodically.
It is your responsibility to review this page regularly for any changes.
By continuing to use our website and Products after updates, you agree to the revised terms.
